MetaMusic Terms of Use
Preamble: MetaMusic aims to simplify the management and distribution of music metadata and promote the discoverability of music from Quebec and Canada. It offers services that centralize and disseminate information on musical content (works, sound recordings, contributors) in a searchable database. Use of the tool is subject to the present terms and conditions.

Introduction: MetaMusic aims to simplify the management and dissemination of musical metadata to promote the discoverability of local music. The services offered by MetaMusic are (hereinafter, the "Services"):
- The creation of a reference database populated by contributors and rights holders for information on musical content, including information on works, sound recordings and their respective contributors (authors, composers, producers, artists, publishers, technicians, etc.) ;
- To offer its Users a functionality to download data on their musical content;
- And other incidental purposes listed in our Privacy Policy.

Definitions: the definitions of the following terms apply to the statements set forth in the Terms of Use:
- "User" means the person who has the right to access and manage the account. The user is anyone who accepts the Privacy Policy and Terms of Use upon registration.
- "Platform" means the web application MetaMusic has launched online. It offers users the possibility of registering and importing their catalogue data in connection with MetaMusic's metadata model (metamusic.ca) .
- "metadata model": minimum required dataset determined by MetaMusic to promote the discoverability of a music catalogue.
- "Discoverability": Potential for a piece of music or sound recording to be found, recommended and listened to via search engines, streaming services and other digital services.
- "MetaMusic": designates a non-profit organization incorporated under the Canada Not-for-Profit Corporations Act.

Permitted use: Any User may access their account and download associated information. Users agree to:
- Provide accurate, complete and up-to-date information on musical content and their personal information.
- To use the database and the services offered with full respect to the rights of the contributors (authors, artists, producers, etc.).
- Not to distribute or publish data retrieved through MetaMusic for unauthorized or illicit purposes.
Any user may access, copy, print and distribute portal pages and the information they contain under the following conditions:
- The information will be used solely for personal purposes or, in the case of a company, in the normal course of its business.
- Information may not be modified or altered in any way.

Connections with partners: The tool will allow connection to partners to enrich, validate and disseminate the metadata provided. By using MetaMusic, you accept the current connections and

SOPROQ
- For members, it allows validation of the role of the music maker and/or record company and future retrieval of the back catalogue.
- Initiation of new music catalogue declarations to SOPROQ (declaration to be completed on Octave).

Artisti
- For members, validation of performer role
- Retrieval of identifiers (IPN), group names, stage names and back-catalogue
- Declaration of new music to Artisti

SOCAN
- Integration by import of public data from the SOCAN works catalogue in CSV format
- The addition of a validated IPI enables SOCAN member users to update their catalogue (after validation of their IPI identifier).

International ISNI Agency and Quansic:
- Retrieval of public digital identifiers associated with your activity (ISNI, platform identifiers, Wikidata, etc.).

- Music distributors
- music streaming platforms

BAnQ
- Addition of BAnQ identifier for producers and record companies located in Quebec
- Declaration of legal deposit for new releases published after 2022.
- Évangéline: connection and retrieval of lyrics.
- MusicMatch, LyricFind, and Copibec: Send lyrics that are included in the sound recordings.
- Wikidata/Wikipedia
- MusicBrainz
- Jaxsta
- Any other public metadata service or public organization requiring public metadata on releases, recordings and works.

Intellectual property: All elements of the website and Platform (computer code, graphics, descriptive texts, illustrations, etc.) are the property of MetaMusic and may not be used without its consent. It is strictly forbidden for Users to copy and/or divert for their own purposes or those of third parties the concept, technologies, all or part of the data or any other element of the MetaMusic Platform.
It is strictly forbidden to monetize, sell or grant in whole or in part access to the Services or to the Platform, as well as to the information hosted and/or shared therein.

Scope of MetaMusic's obligations: MetaMusic ensures the proper functioning of the Platform, but it cannot be held responsible for its temporary unavailability. It reserves the right to modify, suspend, or withdraw the platform at any time and without notice.
Similarly, MetaMusic is not responsible for the accuracy of the information contained on the Platform.The information contained on the Platform is made available strictly for informational purposes. While MetaMusic strives to keep the information contained on the Platform current, it makes no representation or warranty that the information is complete and accurate.
MetaMusic, on behalf of itself and each of its officers, employees, agents, suppliers, or subcontractors, disclaims all liability for any loss or damage of any kind, including, but not limited to, direct, indirect, punitive, loss of access, loss of data, whether caused by a virus or not, loss of revenue, or property damage.
MetaMusic may use certain information provided by Users via the Platform in accordance with Privacy Policy of MetaMusic.

Warranties and Waiver:By accessing and using the Platform,the User agrees to be bound by these Terms of Use as well as the Privacy Policy. These documents may be modified from time to time by MetaMusic. The User, on its own behalf and on behalf of its officers, employees, agents, suppliers and subcontractors, also warrants that anyone accessing the Platform on its behalf has access and account management rights and has read and complies with these Terms of Use. MetaMusic reserves the right to modify the Terms of Use from time to time and it is the responsibility of each User to keep informed of modifications.
The User agrees to use the Platform and Services in accordance with the terms of use, comply with the laws and regulations in force, and not infringe the rights of third parties or public order. On behalf of itself and its officers, employees, agent suppliers, and subcontractors, it also declares that all information provided in connection with its use is true and accurate
The User agrees to provide MetaMusic, and to modify it when necessary, all information required by the latter to promote the discoverability of its music.
The User authorizes MetaMusic to use the information provided via the Platform in order to promote the discoverability of his/her music in accordance with the Privacy Policy.
The User assumes full responsibility for its use of the Platform. The User also releases MetaMusic, on its behalf and on behalf of the administrator(s) and authorized contacts on its behalf, its officers, employees, agents, suppliers and subcontractors, from any and all liability for any loss or damage caused of any nature whatsoever, including, but not limited to, any direct, indirect, punitive, loss of revenue or property damage.
Furthermore, by using the MetaMusic platform, the User waives his or her moral right to anonymity, which you may enjoy under sections 14.1 and 17.1 of the Copyright Act (R.S.C. (1985), c. C-42).
In the event of a breach of any of the provisions of these Terms of Use or, more generally, an infringement of applicable laws and regulations by the User, MetaMusic reserves the right to take any appropriate action and, in particular, to suspend or terminate access to the Services of the user, author of the breach or infringement, or having participated therein.

Applicable law: The Platform is made available from the province of Quebec in Canada, and these Terms of Use are governed by and shall be construed in accordance with the laws applicable in Quebec. By accessing and using the Site and Platform, the User agrees to submit to the exclusive jurisdiction of the courts of Quebec. MetaMusic reserves the right to bring an action before the courts of the User's country of residence insofar as the latter conducts its activities, profession or constitutes its principal place of business there.

Duration of Services, unsubscription
The Services are subscribed to for an indefinite period.
The User may unsubscribe from the Services at any time, by sending a request to this effect to MetaMusic by e-mail, using the contact details mentioned in the Contact article. Unsubscription takes effect within a maximum of 7 (seven) working days from the date of this request. Unsubscription automatically deletes the user's account.

If there is a disparity or discrepancy between the French version of the Terms of Use and the version translated into English, the original French version shall prevail.
